Welcome to Bridge Global Partners, LLC (“BGP,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our website www.bridgeglobalpartners.com (“Site”), and your purchase of products, services, or related support from us. By accessing or using our Site, or purchasing from us, you agree to be bound by these Terms. If you do not agree, you must not use our Site or Services.
1.Company Role
BGP is a U.S.-based distributor and representative for multiple global manufacturers. While we facilitate sales, logistics, training, and support, we are not the manufacturer of the majority of products sold. Product specifications, warranties, and performance obligations are provided by the respective manufacturer.
2. Eligible Users
By using this Site or purchasing from BGP, you confirm that you are at least 18 years old and authorized to act on behalf of your company or organization (if applicable).
3. Sales Channels
We sell products and services to:
- Distributors & Resellers (for resale and integration).
- Affiliates & Partners (as part of business agreements).
- End Users (in certain direct-sale cases).
Different terms (including pricing, discounts, warranties, and service levels) may apply depending on your role.
4. Orders, Pricing & Payment
All orders are subject to acceptance by BGP.
Prices are subject to change without notice unless confirmed by an official invoice or sales order.
Taxes, tariffs, duties, and shipping fees are the buyer’s responsibility unless otherwise stated in writing.
Payment terms must be followed as stated on invoices or purchase agreements. Late payments may incur penalties or interest charges.
All credit card payments are subject to a 3% convenience fee.
5. Shipping & Delivery
BGP does not handle the freight; all responsibility for freight arrangements rests with the buyer. We are not liable for any damages or defects that occur after the shipment leaves our warehouse.
Delivery dates are estimates and not guaranteed. We are not liable for delays caused by customs, freight forwarders, carriers, or other factors outside our control.
6. Returns & Cancellations
- Returns are subject to the manufacturer’s policy and prior written approval.
- Customized, special-order, or installed products are not returnable.
- Cancellations after order confirmation may result in restocking or cancellation fees.
7. Warranties & Disclaimers
- Product warranties, if applicable, are provided directly by the manufacturer. BGP does not offer additional warranties beyond those stated by the manufacturer.
- Annual Maintenance Contract (“AMC”) management, if purchased, is subject to separate agreed terms and conditions outlined in the AMC agreement.
8. Limitation of Liability
To the fullest extent permitted by law:
- BGP shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, business interruptions, or data loss.
- Our maximum liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim.
9. Intellectual Property
All content on this Site, including text, logos, graphics, marketing materials, and software, is owned or licensed by BGP and may not be copied, reproduced, or distributed without prior written consent.
Product names and trademarks remain the property of their respective manufacturers.
10. Distributor & Affiliate Responsibilities
Distributors and affiliates are solely responsible for ensuring compliance with applicable laws, making accurate marketing claims, and adhering to resale practices.
You may not misrepresent your relationship with BGP or the manufacturers we represent.
You agree to indemnify BGP against claims arising from the misuse, false representation, or unlawful resale of any products or services.
11. Indemnification
You agree to indemnify, defend, and hold harmless BGP, its officers, employees, partners, and affiliates from any claims, damages, or expenses (including attorney’s fees) arising out of your use of the Site, your purchase or resale of products, or your violation of these Terms.
12. Force Majeure
BGP shall not be held liable for delays, non-performance, or damages caused by events beyond our reasonable control, including but not limited to natural disasters, acts of God, labor disputes, transportation issues, government actions, or supply chain disruptions.
13. Termination
We may suspend or terminate access to the Site or cancel pending orders if you violate these Terms or fail to meet payment obligations.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Harris County, Texas.
15. Amendments
We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the Site. Continued use of the Site or Services after updates constitutes acceptance.
